Tim Hortons parent company taps former Domino’s CEO as new executive chair

The parent company of Tim Hortons has hired an executive known for leading a turnaround at Domino’s Pizza Inc. DPUKY as its new executive chair, and is giving him one of the largest sign-on executive compensation packages in Canadian history. Restaurant Brands International Inc. QSR-T is expected to announce Patrick Doyle as its new executive chair on Wednesday. He will replace co-chairs Alex Behring and Daniel Schwartz, who are co-managing partners of 3G Capital, RBI’s largest shareholder. Both Mr. Behring and Mr. Schwartz will remain on the board. The Toronto-based company, which also owns fast-food chains Burger King, Popeyes Louisiana Kitchen and Firehouse Subs, is making the move as it seeks to boost its stock performance, which its executives believe has lagged the underlying value of the business. Jacynthe Côté to be appointed as chair of RBC’s board of directors next year

Royal Bank of Canada RY-T says Jacynthe Côté will be appointed as chair of the bank’s board of directors next year. The bank says Côté will take over the role effective upon her re-election as an independent director at RBC’s annual meeting on April 5, 2023. Kathleen Taylor, who has served as chair since 2014, will retire. Côté, an independent director of RBC since 2014, has served on the audit, governance and risk committees, and has been chair of the governance committee since 2018. She is currently chair of HydroQuebec and will complete her term in May 2023. Basile van Havre, co-chair of one of the Montreal conference’s working groups, says the private sector is looking for rules and certainty on the environmental effectiveness of its investments. He says it’s part of a larger push for performance standards that companies and investors can use to measure their activities against. The conference, which is bringing more than 190 nations together, is entering its second day of hard talks on hard targets for saving the world’s biodiversity. A day earlier House Financial Services Committee Chairwoman Maxine Waters told Reuters that she is prepared to subpoena Bankman-Fried if he does not agree to appear before the panel next week. “I still do not have access to much of my data – professional or personal. So there is a limit to what I will be able to say, and I won’t be as helpful as I’d like,” Bankman-Fried said on Friday. “But as the committee still thinks it would be useful, I am willing to testify on the 13th,” he added. If you’ve been working long enough, you’ve likely encountered a “gatekeeper” leadership persona. The one who doesn’t let anyone in their organization do anything without cumbersome and often painfully slow personal approvals from them. The signs are easy to spot. The leader requires all significant communications with client groups and stakeholders to go through them, or immediately be reported to them with regular status updates or rounds of forwarded e-mails. Individual team members develop a protective attitude of “I’d better ask if this is okay to do” based on past interactions that have landed them in trouble for acting independently. Record proportion of women on Morgan Stanley managing directors’ list, source says

Morgan Stanley has promoted 184 executives to the role of managing directors this year, lower than 199 a year earlier, but list included a record proportion of women, according to a person familiar with the matter. Among the newly promoted executives, 38% of the 2023 managing directors were women, which was a record high and helped boost overall women managing directors to 24% for the Wall Street bank, the person, who asked not to be identified before the formal release of names, told Reuters. Other banks have also been promoting female executive to top ranks. Citigroup Inc in 2021 became the first Wall Street bank to make Jane Fraser its first female chief executive. Citigroup promoted over 100 women to the role of managing director, the highest ever for the bank, according to a memo seen by Reuters last month. TD appoints new head of Canadian business banking

Toronto-Dominion Bank TD-T is making changes to its top ranks as its head of Canadian business banking retires after nearly five decades. Canadian business banking head Paul Douglas will leave the position at the end of April after about 19 years leading the division. Stepping into the role is head of treasury and enterprise strategy Barbara Hooper. The bank announced the change in an internal memo Wednesday from chief executive officer Bharat Masrani. Following his retirement in April, Mr. Douglas will continue to work with the bank to assist as Ms. Hooper transitions into the role. Manulife says deal with Cleveland Clinic marks a big step in becoming a provider of preventative health care solutions
